Purpose

The Sr. Analyst, Contract Data Governance is responsible for maintaining the governance over contract data in the Bank’s contract lifecycle management (CLM) tool, This role will be ensuring timely review of the key contract data fields aligned to the agreed upon framework, as well as assist in reconciling of standard form contract variances and ensure completion of contract record upon contract execution. Leading candidates must be excited about working in a flexible environment, collaborating with business partners, and delivering high-quality results in a fast-moving workplace.

Accountabilities

  • Governs the accuracy and completeness of the required contract fields in the bank’s contracting tool
  • Responsible for managing contract administration matters in providing support and guidance internally on all issues related to contracts, including non-disclosure agreements, statements of work, and other related documentation
  • Responsible for ensuring consistency and accuracy of key contract terms between the bank’s contracting tool and executed contracts; Co-ordinating the quality control process with contract owners
  • Provides contract analysis and reporting, where applicable to address regulatory, senior management or business requirements
  • Participate in special projects, as required.
  • Liaise with stakeholders to review and report on contractual agreements, as necessary.
  • Develops working knowledge of the third-party risk management process and requirements across the key risk categories that impact third parties
  • Liaises with the business contract/risk owners to provide support in the management of all aspects of third-party risk, including ongoing contract monitoring activities (the business/contract owner owns the risk).
  • Understands how the Bank’s risk appetite and risk culture should be considered in day-to-day activities and decisions. Support development and implementation of relevant policies, standard, frameworks and requirements relating to third party risk management
  • Champions a customer-focused culture to deepen client relationships and leverage broader Bank relationships, systems and knowledge
  • Actively pursues effective and efficient operations of his/her respective areas, while ensuring the adequacy, adherence to and effectiveness of day-to-day business controls to meet obligations with respect to operational risk, regulatory compliance risk, AML/ATF risk and conduct risk, including but not limited to responsibilities under the Operational Risk Management Framework, Regulatory Compliance Risk Management Framework, AML/ATF Global Handbook and the Guidelines for Business Conduct.

Requirements

  • Exceptional communication skills (written & oral), with attention to detail
  • Excellent judgment and the ability to balance competing priorities
  • Exceptional problem-solving skills in order to come up with a reasoned, defensible response
  • Able to work with a large volume of inquiries and prioritize accordingly
  • Self-motivated and work with minimal direction
  • Excellent organizational skills
  • Ability to work independently and as a team player when required
  • Understand the wider objectives of procurement and contract management practices
  • Knowledgeable in financial services and regulations (e.g., OSFI, OCC, CFPB, UDAAP) and how they are applied to Third Party relationships is preferred
  • Spanish language ability (reading, writing and spoken) is an asset

Experience/Education

  • 1-2 years of experience working for a Bank is an asset
  • Paralegal or Law Clerk certificate/diploma is an asset
  • Bachelor’s degree or diploma in management, business, law, or related field; master (MA or MSc) in business or related field preferred
  • 2+ years of contract management work experience
